EXHIBITORS CONTRACT FOR WEDDINGS AT THE BEACH BRIDAL SHOW 2010

10:00 a.m. to 4:00 p.m.

COST OF PARTICIPATION:

The booth fee for exhibitors will be $245.00 after 10/31/2009 $345.

The Booth Fee includes one 8' by 10' booth with draped table, two chairs, ID sign and nametags.

Exhibitors requiring electrical outlets will be charged an additional $25.00.

Show committee will make every effort to accommodate booth selections, but reserves the right to place exhibitors where appropriate to meet needs of all show participants.

This agreement between Weddings at the Beach Bridal Show 2010 and Exhibitor is as follows:

 1. All exhibitors will set up their areas the evening of February 19th, starting at 5:00 P.M. and will need to be completed no later than 8:00 P.M. THE HALL WILL NOT BE AVAILABLE FOR SET UP THE DAY OF THE BRIDAL SHOW. THE ONLY EXCEPTION TO THIS WILL BE FLORISTS BRINGING IN FRESH FLOWERS AND CATERERS BRINGING IN FOOD.

2. All exhibitors will participate on February 20, 2010 from the opening at 10:00 am until closing at 5:00 pm. Breaking down and cleaning up will follow immediately after closing at 5:00 pm, not during show hours.

3. All vendors will act in a professional manner at all times to guests of Weddings at the Beach and to all other vendors at the show. Any vendor acting in a non-professional manner will be ask to leave the premises and return at 5:00 to remove exhibit.

4. All fees and applications must be returned to the Weddings at the Beach Committee no later than January 2, 2009. Cancellations must be received in writing prior to December 24, 2008. No refunds will be given after this date.

5. Booth selections will be assigned by the Show Committee two weeks prior to the show date of March 21st and exhibitors will be notified at that time.

6. Weddings at the Beach Bridal Show reserves the right to refuse any prospective exhibitor.

7. All exhibit areas will be maintained in a clean and orderly fashion.

8. Minors/Children will not be allowed in exhibitor’s booths.

9. Application for space - Conditions: Reservations must be made on Exhibitors application form, which must contain complete information. Show Management reserves the right to reject any Exhibitor application at its sole discretion. It is the policy of Show Management to limit the use of exhibit spaces to exhibitors whose products or services contribute to the purpose of show.

10. Sharing and subletting space: Exhibitor shall not assign, subcontract, or apportion the whole or any part of the space allotted, or have representatives, equipment or materials from other than their own products.

11. Displays and Construction: Show Management has arranged for a standard uniform booth background, including an ID sign with exhibitor’s name and booth number. Equipment and all other physical items must be contained within the confines of the exhibit space, and allow sufficient space for exhibitors personnel to conduct business within the space.

All demonstrations must be within the confines of the exhibit space.

12. Character of Exhibits: It is the desire of Show Management that each exhibitor design and create an exhibit of an attractive nature, which will enhance the overall appearance of the Bridal Show and be a credit to the industry. Show Management reserves the right to reject and remove any exhibit that, in its opinion does not conform to such standards.

13. Gadgets, Gimmicks, Demonstrations, Music and Sound: Side show tactics, scantily clad individuals or other undignified promotional methods will not be permitted. Exhibitors are asked to observe the "good neighbor" policy at all times. Exhibits should be conducted in a manner not to be objectionable or offensive to neighbors booths. The use of photographers, musicians, entertainers, loud speakers, sound system equipment and noise-making devices are restricted to within the Exhibitors booth. Show Management reserves the right to determine when such items become objectionable.

14. Soliciting – Access to Lists, Samples & Prizes: No exhibiting firm, organization or trade publication, regardless of its product or service, is permitted to sell product or services off the show floor. No soliciting of registrants shall be permitted in the aisles or in other exhibitors’ booths. Samples, catalogues, pamphlets, publications, souvenirs, and other information and products, may be distributed by exhibitors, and their representatives (including hosts and hostesses) only within their own booths.

15. Flammable Materials: Flammable fluids, substances, or material of any nature are prohibited in the booth and in the storage area behind the booth. All decorative materials must be flame-proofed before being taken into the exhibit hall, and must comply with local fire regulations. Transferring of flammable liquids while in the exhibit hall is expressly prohibited. Electrical equipment and wiring must meet all safety codes.

16. Liability and Indemnity: Neither Show Management, the official service contractors, Exposition hall management, Show Management’s security service, nor any of their respective officers or employees or volunteers of the above will be responsible for the safety of property of Exhibitor due to theft, strikes, damage by fire, water, storm or vandalism or other causes. Exhibitor acknowledges that it places all of its personal property in the Exposition hall at its own risk. All property of the Exhibitor is understood to remain in the Exhibitor’s custody and control in transit to or from or within the confines of the exhibit hall and subject to the rules and regulations for the Exposition. Exhibitors shall obtain and maintain insurance to cover exhibit materials against damage and loss and public liability insurance against injury to persons and property of others. By executing this Contract , Exhibitor warrants that there is in effect said insurance policy covering the Exhibitor, with coverage remaining current through Exhibitor’s participation in the Exposition. Exhibitor must comply with all federal, state, local and exposition facilities’ safety regulations. Corrections for violations of such regulations will be made at Exhibitor’s expense. If such corrections cannot be made, exhibit shall be removed at Exhibitor’s cost, with no liability accruing to Show Management. Exhibitor shall indemnify, defend, and hold harmless Show Management, its officers, employees, and agents from and against any and all claims, losses, damages, costs, and other liabilities (including reasonable attorney’s fees) that are caused by, arise from, or grow out of (a) the negligent acts or omissions of the Exhibitor, its agents, officers, employees, representatives, servants, invitees, patrons, or guests, (b) the use of the Exposition booth by or on behalf of Exhibitor, or (c) any breach of the terms of this Contract. The Exhibitor shall comply with all local laws, ordinances and regulations pertaining to business licenses, health, fire prevention and public safety affecting its participation in the Exposition.

17. Force Majeure: Any delay in the performance of any duties or obligations of Show Management and any non-occurrence of the Exposition will not be considered a breach of this Contract if such delay is caused by a labor dispute, shortage of materials, fire, earthquake, flood, act of God, act of war or terrorism, or any other event beyond the control of Show Management; provided, however, that in the event that the Exposition is not held for any of the foregoing reasons, Show Management will refund to Exhibitor the amount paid for its Exposition space less a prorated share of all the expenses incurred for the Exposition up to the date of required cancellation.

18. Damage: Exhibitor will be liable for any damage caused by fastening fixtures to the floors, walls, columns or ceilings of the exhibit building and for any damage to equipment furnished by Show Management or service suppliers designated by them.

19. Violation: The interpretation and application of these rules and regulations are the responsibility of Show Management. Any violation by the exhibitor of any of the terms or conditions herein shall subject Exhibitor to cancellation of this Contract and to forfeiture of any monies paid on account thereof. Upon written notice of such cancellation, Show Management shall have the right to take possession of Exhibitor’s space, remove all persons and properties of Exhibitor and hold Exhibitor accountable for all risks and expenses incurred in such removal.

20. Show Rules: In the event that unforeseen events make it necessary, Show Management will have the right to amend these rules and regulations or make additions thereto, and all such amendments or additions shall be made known promptly to each exhibitor. Show rules are promulgated separately and are tailored to the individual exhibit hall.

21. General: This Contract sets forth the entire agreement between the parties pertaining to the subject matter herein and supersedes all prior and contemporaneous understandings regarding such subject matter. This Contract shall be interpreted in accordance with the laws of the state of Oregon, excluding its conflicts of law principles. Except as provided in Section 19, any modification of this Contract must be in a writing signed by both parties which references this Contract. All waivers must be in writing. Any waiver or failure to enforce any provision of this Contract on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion. If any provision of this Contract is unenforceable, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

22. No change or modification of this Agreement is valid unless it is in writing and signed by the party or parties to be bound.

23. If any suit or action is brought on this Agreement, the losing party agrees to pay the prevailing party’s reasonable attorney fees, costs, and expenses to be fixed by the trial court, and on appeal the prevailing party’s reasonable attorney fees, costs, and expenses to be fixed by the appellate court.

24. This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon.

25. This Agreement constitutes the entire Agreement between parties with respect to the subject matter hereof and it supersedes any and all prior Agreements between the parties with respect to such subject matter.
